• Event Location & Setup:

  • The event will take place at the Galleria Shoppes at Vanderbilt, located at 2343 Vanderbilt Beach Rd. #624

    Naples, FL 34109.

  • Setup begins at 3:30 PM, and vendors must be fully ready by 4:45 PM for events starting at 5:00 PM.

  • Vendor spaces will be assigned before arrival, and you will be directed to your setup area by our event coordinator.

  • All vendor displays must be contained within the allotted space and be professional and clean.

• Breakdown:

  • Vendors are expected to remain fully set up until the official end time of 8:00 PM. Early breakdown is not permitted.

  • Please ensure all materials and trash are removed from the site before leaving.

• Product Sales:

  • Vendors are responsible for their own sales transactions, including providing their own payment methods (cash, card, mobile payments, etc.).

  • Sales tax collection and reporting are the responsibility of each vendor.

• Weather:

  • This is an outdoor event, and the event will proceed rain or shine unless otherwise communicated by the event coordinator. Vendors should be prepared for inclement weather.

  • In case of event cancellation due to extreme weather, vendors will be notified at least 24 hours in advance, and rescheduling details will be provided.

• Refunds: There are NO Refunds

• Liability:

  • Vendors are responsible for their own insurance coverage. Neither the event organizers nor Galleria Shoppes at Vanderbilt will be liable for any loss, theft, or damage to vendor property.

• Health & Safety:

  • Vendors must adhere to all local health and safety regulations. If you are handling food, you must have the appropriate permits and comply with health codes.

• Parking:

  • Vendors must park in designated vendor parking areas after unloading. Parking details will be provided prior to the event.

• Promotions:

  • We encourage vendors to promote the event via their social media channels and tag @sip.shop.socialize.events to help create excitement and engagement.

Indemnification and Hold Harmless:

The Participant agrees to indemnify, defend, and hold harmless Sip Shop Socialize, LLC, Galleria Shoppes at Vanderbilt, their owners, officers, directors, employees, agents, and affiliates (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, expenses, fines, penalties, or costs (including reasonable attorneys' fees) arising out of or in connection with:

1. The Participant’s participation in the Event.

2. Any personal injury, property damage, or wrongful death that occurs during the Event, except to the extent such injury, damage, or death is caused by the gross negligence or willful misconduct of the Indemnified Parties.

Assumption of Risk:

The Participant acknowledges that participation in the Event may involve certain risks, including but not limited to personal injury or property damage. The Participant voluntarily assumes all such risks, whether foreseen or unforeseen, and agrees to participate in the Event at their own risk.

Compliance with Laws and Regulations:

The Participant agrees to comply with all applicable local, state, and federal laws and regulations while participating in the Event. The Participant shall obtain any necessary permits, licenses, or insurance required for their participation.

Limitation of Liability:

In no event shall the Indemnified Parties be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits or revenue, arising out of or in connection with the Event, even if advised of the possibility of such damages.

Severability:

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles.

Entire Agreement:

This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements, negotiations, and understandings, whether written or oral.
